Why this role is important to us

The Deputy Group Company Secretary is a senior leadership role responsible for the effective operation of Board governance and the delivery of a consistent, high-quality governance framework across Experian globally.

As a primary deputy to the Group Company Secretary, this role leads Group governance, supports major strategic activity and oversees the Group’s company secretariat operating model across regions.The role operates with authority to lead Board governance and Group-wide governance matters as required and carries broad accountability across governance delivery, people leadership and continuous improvement of the Group’s governance framework.

Work that matters – what you’ll be doing

  • Leading Board and Committee governance, including agenda setting, paper quality, meeting effectiveness and minute-taking standards
  • Acting as Secretary to senior Boards and Committees, supporting robust governance and decision-making
  • Overseeing delivery of the AGM, including shareholder engagement, proxy adviser interaction and voting processes
  • Owning the development, implementation and ongoing evolution of Group governance policies, including matters reserved, delegated authorities and governance frameworks
  • Overseeing delivery of Group-level publications, including the Annual Report and other corporate reporting, with responsibility for the quality and consistency of corporate secretariat sections and governance disclosures
  • Supporting governance aspects of M&A, restructurings and major transactions, acting in a leading and coordinating role across the Group
  • Overseeing cross-border statutory compliance across the Group, ensuring consistency beyond the plc
  • Embedding governance best practice through training, engagement and continuous improvement across regions
  • Leading the Group company secretariat operating model, including oversight of regional resources and subsidiary governance teams
  • Line management of Group secretariat team members, including those responsible for subsidiary governance
  • Appointment to certain principal and operating subsidiary boards, with overall governance oversight at Group level
  • Contributing to plc Board and Committee papers and governance outputs
  • Owning key third-party governance relationships, including proxy advisers and governance service providers
  • Providing overall oversight of the Secretariat budget, with final accountability for spend and prioritisation

Experience and Skills

What you’ll need to bring to the role & Experian

  • Extensive experience supporting Board and Committee governance in a FTSE-listed / equivalent environment
  • Proven experience acting as Company Secretary at senior level
  • Deep knowledge of AGM processes, shareholder engagement and proxy adviser landscape
  • Experience leading governance across complex, international organisations, including M&A and restructurings
  • Strong leadership experience, including oversight of global or regional company secretariat teams
  • Chartered Governance Professional (ACG/FCG or equivalent)
